By accessing and using ReplyServe ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms and Conditions, please do not use this Service.

2. Description of Service

ReplyServe provides automated AI-powered review response generation services for businesses. The Service generates suggested responses to customer reviews on various platforms including but not limited to Google Reviews.

3. User Responsibilities

You agree to:

  • Provide accurate and complete information when creating your account
  • Maintain the security of your account credentials
  • Review all AI-generated responses before publishing
  • Ensure all published responses comply with applicable laws and platform policies
  • Not use the Service for any illegal or unauthorized purpose
  • Not attempt to reverse engineer, decompile, or extract the source code of the Service

4. AI-Generated Content Disclaimer

IMPORTANT: All responses generated by ReplyServe are AI-generated suggestions. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or inappropriate language
  • You are solely responsible for reviewing and approving all responses before publication
  • ReplyServe is not liable for any consequences arising from published AI-generated content
  • The final decision to publish any response rests entirely with you

5. Payment and Billing

ReplyServe operates on a pay-as-you-go credit system:

  • Credits are purchased in advance and do not expire
  • You are charged only for published replies, not drafts
  • All payments are processed through secure third-party payment processors
  • Credits are non-refundable except as required by law
  • Pricing is subject to change with 30 days notice to existing users

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • ReplyServe is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated content
  • We are not liable for any direct, indirect, incidental, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid for the Service in the past 12 months
  • We are not responsible for third-party platform policies, changes, or actions

7. Indemnification

You agree to indemnify, defend, and hold harmless ReplyServe, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Content you publish using the Service
  • Your violation of any third-party rights

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using ReplyServe, you consent to our collection and use of data as described in the Privacy Policy.

9. Third-Party Integrations

ReplyServe integrates with third-party platforms (e.g., Google Reviews). You acknowledge that:

  • We are not responsible for third-party platform availability or changes
  • You must comply with all third-party platform terms of service
  • Integration functionality may change or be discontinued at any time
  • We are not liable for any actions taken by third-party platforms

10. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by ReplyServe and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Service immediately ceases
  • Unused credits may be forfeited (except as required by law)
  • Sections of these Terms that should survive termination will remain in effect

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution
